Global Terms of Service

Welcome to the digital platforms and commerce networks operated by QZZON Group (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern the legal relationship between QZZON Group and you (“User,” “Client,” or “you”) regarding your access to and use of our websites, platforms, smart fulfilment software and global logistics applications (collectively, the “Services”).

By accessing, registering for, or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these conditions.

1. Account Registration and Security

• Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Services.
• Accuracy: You must provide accurate, current and complete information during the registration process.
• Account Safety: You are solely responsible for safeguarding your account credentials. You must immediately notify us of any unauthorized use or security breaches.

2. Acceptable Use Policy

You agree to use our Services only for lawful purposes. You are strictly prohibited from:

• System Abuse: Interfering with, disrupting, or attempting to breach the security of our AI-driven optical backbone or digital servers.
• Data Scraping: Deploying automated scripts, bots, spiders, or scrapers to extract market data or corporate records without explicit permission.
• Illegal Commerce: Utilizing our smart fulfilment and precision logistics network to move illicit goods, counterfeit items, or hazardous materials that violate local or international trade laws.
• Reverse Engineering: Attempting to decompile, reverse engineer, or extract the source code of our logistics software and automated systems.

3. Commercial Terms and Payment

• Pricing: Service fees, subscription costs and logistics rates are detailed in your active service quotes, digital dashboards, or distinct Master Services Agreement (MSA).
• Payment Terms: Unless explicitly agreed otherwise in writing, all invoices are due within thirty (30) days from the date of issue.
• Late Payments: Overdue balances are subject to a late fee of 1.5% per month, or the maximum rate permitted by law, whichever is lower.
• Taxes and Duties: You are solely responsible for all applicable taxes, customs duties, tariffs and clearance fees associated with global commerce orders handled by our fulfilment network.

4. Intellectual Property Rights

• Our Ownership: All intellectual property, including algorithms, logos, software architectures, user interfaces and the data models driving our precision logistics network, remain the exclusive property of QZZON Group.
• User License: We grant you a limited, non-exclusive, non-transferable and revocable license to access and use our platform interface solely to facilitate your logistical and commerce transactions.

5. Termination of Services

• Termination by You: You may close your account and cease using our Services at any time by contacting our support desk, subject to the settlement of outstanding invoices.
• Termination by Us: We reserve the right to suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms, fail to pay balances due, or expose QZZON Group to legal or financial risk.

6. Limitations of Liability

To the maximum extent permitted by applicable international law:

• No Indirect Damages: QZZON Group will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or disruptions to business continuity.
• Liability Cap: Our total cumulative liability for any claim arising out of or relating to these Terms or the use of our digital platforms will not exceed the total amount paid by you to QZZON Group in the three (3) months immediately preceding the event giving rise to liability.

7. Disclaimer of Warranties

Our digital platforms and automated services are provided on an “As Is” and “As Available” basis. QZZON Group disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that our fulfilment systems or network connections will be entirely uninterrupted, secure, or free from minor errors.

8. Governing Law and Dispute Resolution

These Terms and any disputes arising from them will be governed by and construed in accordance with the laws of Wilmington, Delaware 19801, USA or George Town, Grand Cayman, Cayman Islands, without regard to conflict of law principles. Any legal action, suit, or proceeding arising under these Terms shall be resolved exclusively through binding arbitration or within the courts located in Wilmington, Delaware 19801, USA or George Town, Grand Cayman, Cayman Islands.

9. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the revised version on our website with an updated revision date or through direct email notice. Your continued use of our platforms after updates take effect constitutes acceptance of the revised Terms.
